Save the Date! The Leave No Trace Ireland – Annual General Meeting 2023

Notice is hereby given that the Annual General Meeting of Leave No Trace Ireland will be held on Friday, 26th May 2023, from 11:00 to 13:00 (GMT) via zoom for the following purposes:
AS SPECIAL BUSINESS
- To consider and, if thought fit, pass the following resolution as a Special Resolution:
“THAT the constitution in the form presented to the meeting by the Chairperson (the full version of which was available on the Company’s website and also available on request to the Company as stated in an Explanatory Memorandum accompanying this Notice) be and is hereby amended as follows:-
- By the deletion of Article 48.10 and the substitution of the following therefor
“48.10 has served as a Director for a continuous period of nine years.”
- By the deletion of Article 64.1 and the substitution of the following therefor
“64.1 The Directors shall elect a Chairperson of their meetings and determine the period (not exceeding a term of three years) for which he or she is to hold office, subject to a maximum period of three, three-year terms or terms not exceeding in aggregate nine years, after which he or she shall resign so as to allow the election of another member of the Board as Chairperson.”
AS ORDINARY BUSINESS
- To receive and consider the Directors’ Report, Auditor’s Report, and Financial Statements of the Company for the year ended 31 December 2022.
- To appoint the Auditors of the Company and to re-appoint the Solicitors and authorise the Directors to fix their remuneration for 2023.
- In accordance with the requirements of Regulations 51-55 of the Constitution to re-elect the following Directors:-
- Paddy Doherty
- Pat Neville
- Emma Fortune
- To review the Company’s affairs.
